Terms of service

1. Definitions and parties

In these terms, the following words have the meanings given here:

• “uttapen”, “we” or “us”: the provider of the uttapen service (uttapen.ir).
• “You” or “the user”: the person or organisation that creates an account or uses the service. If you sign up on behalf of a company or organisation, you confirm that you have the authority to accept these terms for it.
• “The service”: the uttapen.ir website, the user dashboard, the application programming interface (API) at api.uttapen.ir and the tools that come with them.
• “API key”: the secret string that identifies your requests to the API and against which their cost is taken from your wallet.
• “Wallet”: your toman credit account at uttapen.
• “Model maker”: the company or institution that built and offers a language model.
• “Output”: what a model produces in answer to your request.

To use the service you must have the legal capacity to enter into a contract.

2. The service

uttapen is an API platform that gives access to language models from many model makers through an OpenAI-compatible interface. The chat inside the dashboard and the model playground are side tools for trying models out, and these terms govern them too.

The list of models, and each model's price and capabilities, are published on the models page. A model maker may change a model or withdraw it; when that happens the model leaves our list as well, and its page says so.

We may add, change or remove features of the service. Significant changes are announced in the changelog or in the dashboard.

3. Your account and its security

• You sign up and sign in with your mobile number and a one-time code sent to it by text message; you may also set a password. Each account belongs to the holder of that mobile number.
• The details you enter in your account — such as your name, email and billing details — must be accurate and kept up to date.
• You are responsible for keeping your password, one-time codes and API keys confidential. Any use made with your account or your keys is charged to your account.
• If you suspect a key has leaked, revoke it in the dashboard at once and create a new one. Usage made with that key before it was revoked is your responsibility. To limit the risk, you can give each key a monthly spending cap, an allow-list of models and an expiry date.
• Creating several accounts to get around limits or to take more of the free allowance is not allowed.

4. Wallet, top-ups and payment

• The wallet is held in toman. It is topped up through the Zibal online payment gateway with any bank card on Iran's Shetab network. Each top-up is at least 100,000 toman and at most 50,000,000 toman.
• No value added tax is currently added to a top-up. If that changes, the tax is shown to you before you pay, and the top-up amount, without the tax, is what goes into your wallet.
• Every successful top-up produces a payment receipt with a unique number, which you can view and print in the dashboard.
• Each request is charged on what that request actually used (such as its input and output tokens), at the model's published price at the moment the request began, and the cost is taken from your wallet. The exact cost of every request is shown under Usage in the dashboard.
• Before a request is sent, an amount is set aside from your balance for a moment (a hold) to make sure the balance covers it. That amount is not taken: when the request ends, only the real cost is charged and the rest is released at once. A request that stops with an error before any answer is produced costs nothing.
• In rare cases the real cost of a request can exceed the amount held. The difference is then taken from your balance, which may go below zero. While the balance is negative, new requests that carry a cost are not accepted, and the negative amount is settled from your next top-up.
• Each model's toman price is published on its page and may change with market conditions or with the model maker's own price. A new price applies from the moment it is published on the site; a request that began earlier is charged at the price in force when it began. A price change does not reduce the credit already in your wallet; it only affects the cost of later requests.
• Wallet credit has no expiry date and is for use on uttapen only.
• Some models are offered free of charge. Their capacity is limited and shared, they carry a daily cap, and they may be restricted or withdrawn without notice.
• Gift credit — such as a sign-up gift, where one is granted — is for use on the service only and cannot be paid out as money or transferred.

5. Refunds

• If an amount leaves your card but the payment is not confirmed, the bank returns it to your card within 72 hours at most.
• An amount taken from your wallet by mistake is returned to your wallet once reviewed.
• Unused purchased credit is paid back to a bank account in the account holder's name when the fault is ours, when the service stops, or when your account is closed without any breach on your part — and in other cases by agreement with support. Gift credit is not paid out as money.

6. Acceptable use

You agree not to use the service:

• for anything that is a crime or prohibited under the laws of the Islamic Republic of Iran, including producing or publishing unlawful content, fraud, deceiving others or infringing their rights;
• to produce content that the model makers' usage policies prohibit — including content related to the abuse of children, or content that encourages violence against or harassment of others — and you agree to follow those policies, which may be stricter for some models;
• to sell, rent out or share your API key or access to your account. Serving your own customers through a product you have built is allowed, provided your key is never handed to them and you remain responsible for their use;
• to attack the service or its infrastructure, probe it for vulnerabilities without permission, disrupt it, or deliberately put an abnormal load on it;
• to get around the service's limits — such as rate limits, the daily cap on free models or account caps — by opening several accounts or by any other means.

If you find a security vulnerability in the service, please report it to us at support@uttapen.ir and do not publish it before it has been fixed.

7. Suspension and termination

• We may restrict or suspend access to your account or keys if these terms are breached, if there are signs of abuse, on the order of a competent legal authority, or if there is a serious risk to the security of the service or other users. Except in urgent cases or where the law does not allow it, we tell you why and give you a chance to respond or put things right.
• Your wallet credit is kept safe while an account is suspended.
• If an account is closed permanently for a serious or repeated breach of these terms, the remaining credit is decided on after review and in accordance with the law, and we may deduct from it any proven loss the breach caused.
• You can stop using the service at any time and ask for your account to be closed through the contact page. To get unused purchased credit back, follow the refunds page.
• If we stop providing the service permanently, we give at least 30 days' notice — unless the law or an event beyond our control makes that impossible — and pay back your unused purchased credit as set out on the refunds page.

8. Availability

• We work to keep the service available and stable, but we do not guarantee uninterrupted availability, a given speed or freedom from errors. No service level agreement with a guaranteed availability percentage is offered at present.
• The availability and quality of each model also depend on its model maker; a model may be temporarily unavailable, slow, or short of capacity.
• The service may stop briefly for maintenance and updates. We try to do that work at quiet hours and to announce longer planned outages in advance.
• The live state of the service is published on the status page.
• We are not responsible for disruption caused by events beyond our control, such as internet outages or restrictions, banking network failures, decisions of legal authorities or force majeure.

9. Limitation of liability

• Model output is produced by artificial intelligence and may be wrong, incomplete, out of date or unsuitable. Check it before you rely on it — especially in medical, legal, financial or safety matters. You are responsible for how you use outputs and for decisions based on them, and uttapen is not responsible for the content of model output.
• The service is provided as it is, and apart from what these terms expressly say, no further warranty is given that it is fit for your particular purpose.
• To the extent the law allows, we are not liable for indirect or consequential loss, such as loss of profit, loss of data or business interruption.
• Our total liability to you for any claim relating to the service will not exceed the total you paid us in wallet top-ups in the three months before the event that gave rise to the claim.
• These limits do not restrict any liability that cannot be excluded by law, including liability for wilful misconduct.
• You are responsible for any loss that your breach of these terms, or your unlawful use of the service, causes to us or to others.

10. Intellectual property and outputs

• The rights in uttapen — including its name and marks, design, software, website content and documentation — belong to us or to their lawful owners. You may freely use the code samples in the documentation in your own projects.
• The inputs you send and the outputs you receive belong to you, to the extent the law and the relevant model maker's policies allow. We claim no rights in them, and we do not store the text of API requests or responses.
• You are responsible for making sure you have the right to send the content you send to models, and that your use of outputs does not infringe anyone else's rights. Output may not be unique; a model may produce similar answers for other users.

11. Privacy

What information we keep, why and for how long is set out in the privacy policy, which forms part of these terms. To answer a request, its content is sent through our infrastructure outside Iran to the model maker you chose; by sending a request, you agree to that transfer.

12. Changes to these terms

• We may update these terms. The new version is published on this page with its “last updated” date.
• Significant changes that work against you are announced on the site or in the dashboard at least 7 days before they take effect. Other changes take effect when published. Changes to model prices follow the “Wallet, top-ups and payment” section.
• Continuing to use the service after a change takes effect means you accept it. If you do not agree with a change, you can stop using the service and ask for your unused purchased credit back as set out on the refunds page.

13. Governing law and disputes

• These terms are governed by the laws of the Islamic Republic of Iran.
• If a dispute arises, please first raise it with support through the contact page. We aim to settle it by negotiation within 30 days of receiving the claim.
• If the dispute is not settled within that time, either party may refer it to the competent courts of the Islamic Republic of Iran.

14. General

• If any part of these terms is found invalid or unenforceable, the rest remains in force.
• Our not exercising a right does not mean we have waived it.
• Notices about your account are sent through the dashboard, by text message to the account's mobile number, or to the email address registered on it.
• The Persian text of these terms is authoritative; the English version is provided for convenience.
